The Commercial Law Center jointly with the territorial department of the State Commission on Securities and Stock Market (SCSSM) continued organizing round tables for representatives of JSCs. On June 29, 2010 a round-table was organized in Chernihiv and on September 10, 2010 – in Zhytomyr.

A number of burning issues was discussed during the round-tables, including the novellas of the Law concerning the auction based sale of securities; shares dematerialization; selection of the steering committee and its formation based on cumulative voting or based on proportional representation of shareholders; procedure for calling and holding the general shareholders’ meetings, etc. It is worth mentioning that the meeting participants were especially interested in the possibility of postponement of the transformation terms. According to the Law, by the end of April 2011 all JSCs should select either private or public form and introduce relevant amendments into their statutory and internal documents.

Even though many of JSCs’ representatives spoke about the transitional period problems and difficulties related to the lack of funds and expertise, the number of JSCs, which successfully completed their transformation, had increased. These companies spoke about their positive experience and mentioned that even though the transformation process was time consuming and required some efforts, it was still not so complicated and difficult as anticipated.

Active discussions of the respective issues presented at the round-table, as well as other various ideas, concerns and proposals allowed for their collection and summarizing. Mr. Mykola Burmaka, SCSSM member, jointly with CLC will try and find answers to the questions raised by the round-table participants.
